Conditions

  1. Application : - Les présentes conditions s’appliquent à moins de convention spécifique contraire constatée par écrit. Elles s’ajoutent à toute autre convention en vigueur entre le vendeur et l’acheteur, Les titres des paragraphes sont utilisés à des fins de référence seulement.
  2. Prix : - Les prix peuvent être modifiés sans préavis et sont F.O.B. l’entrepôt d’expédition L’acheteur sera facturé selon le prix en vigueur à la livraison. Tous les autres frais, tels les taxes, frais de transport et droits sont en sus du prix donné.
  3. Acceptation : - Tout bon de commande doit être transmis par écrit. Les commandes sont assujetties à l’acceptation de Distributions Bl. s.e.n.c., l’approbation du crédit et un approvisionnement suffisant.
  4. Paiement : - Les modalités de paiement sont net 30 jours et 2% 15 jours à compter de la date de facturation. Les comptes en souffrance portent intérêt au taux de 26.8% l’an (2% par mois) et sont assujettis à une indemnité de recouvrement de 15%.
  5. Annulation : - Une commande ne peut être annulée qu’avant son expédition. Des frais d’annulation et de remise en inventaire peuvent s’appliquer.
  6. Retours : - Les retours, s’ils sont acceptés, donnent lieu à un crédit et non à un remboursement. Aucun retour ne sera accepté sans l’autorisation préalable écrite du vendeur. Seuls les stocks courants retournés en excellent état et dans un délai de 30 jours suivant la date de facturation pourront être acceptés. Le montant crédité sera le moindre du prix facturé et du prix courant du vendeur, moins les frais d’annulation et de remise en inventaire (y compris le transport).
  7. Exclusion de garantie : - Le vendeur garantit seulement son titre à la marchandise. La marchandise est vendue sans autre garantie, que ce soit quant à sa qualité marchande, à son utilité à une fin quelconque, ou autrement. Le vendeur cède à l’acheteur toute garantie de son fournisseur et du manufacturier. L’acheteur renonce à tout droit de poursuite contre le vendeur quant à des dommages causées par la marchandise.
  8. Délais : - Le vendeur ne sera pas tenu responsable des délais de livraison pour des raisons indépendantes de sa volonté, y compris les accidents, conflits de travail, fournisseurs, etc.
  9. Réclamations : - La marchandise est acceptée en bon état par le transporteur. Toute réclamation pour dommages à la marchandise doit être faite auprès du transporteur exclusivement.
  10. Erreurs : - Toute réclamation pour des articles manquants ou pour des erreurs de facturation doit être faite dans un délai de 10 jours suivant la date de facturation.
  11. Commandes en attente : - Les articles non expédiés sont commandés pour livraison ultérieure à moins que l’acheteur annule la commande.
  12. Loi applicable : - Le présent contrat est régi et sera interprété par les lois en vigueur dans la province de Québec.
  13. Limitation de responsabilité : - La responsabilité du vendeur, le cas échéant envers l’acheteur découlant du présent contrat est limitée aux dommages directs et le vendeur ne sera pas tenu responsable des dommages indirects.
  14. Commande minimum : - Commande minimum de 50$.
  15. Litige : - Les parties conviennent que tout litige relié directement ou indirectement au présent contrat doit être soumis à la compétence des tribunaux du district judiciaire de Drummond, province de Québec.

Terms & Policies

  1. Application: These conditions apply unless otherwise specifically agreed to in writing. They are in addition to any other agreements in force between Distributions Bl s.e.n.c.. and the Purchaser. Paragraph titles are for reference only.
  2. Price: Prices are subject to change without notice and are F.O.B. shipping warehouse. Products will be invoiced at prices in effect at the time of shipment. All taxes, transportation costs, duties and other charges are in addition to the quoted price.
  3. Acceptance: All purchase orders shall be transmitted in writing. All orders are subject to Wolseley's acceptance, credit approval, and adequate supply.
  4. Payment: Terms of payment are net 30 days end of month following. All past due accounts are subject to interest at the rate of 26.8% per year (2% per month).
  5. Cancellation: Orders may only be cancelled before shipment and a cancellation/restocking fee may apply.
  6. Returns: Returns, if accepted, are for credit only, not for refund. No returns will be accepted without Distributions Bl s.e.n.c. prior written authorization. Only standard stock items returned in excellent resaleable condition within 30 days from date of invoice may be accepted. Credit will be issued for the lower of invoiced price and Distributions Bl s.e.n.c. current price, less a cancellation and restocking fee and expenses (including shipping).
  7. Exclusion of Warranty: Distributions Bl s.e.n.c. warrants only its title to the goods. The goods are sold without any other warranty, whether as to merchantability, fitness for a particular purpose, or otherwise. Distributions Bl s.e.n.c assigns to the Purchaser any warranty provided by its supplier and by the manufacturer. The Purchaser waives any right to legal action against Distributions Bl s.e.n.c in respect of damages caused by the goods.
  8. Delays: Distributions Bl s.e.n.c is not responsible for delays in delivery due to causes beyond its control, including those attributable to accidents, labour disputes, suppliers, etc.
  9. Claims: All goods are accepted in good condition by the carrier. Claims for damage to the goods must be made by the Purchaser against the carrier exclusively.
  10. Errors: All claims for missing items or inaccuracies on the invoice must be made within 10 days of the date of invoice.
  11. Back Orders: Items not shipped are back ordered for future shipment unless the Purchaser cancels the order.
  12. Applicable Law: This agreement shall be governed and construed in accordance with the laws in force in the Province of Quebec, Canada.
  13. Limitation of Liability:  : Distributions Bl s.e.n.c liability, if any, towards the Purchaser arising from this contract is limited to direct damages and Distributions Bl s.e.n.c shall not be liable for any indirect or consequential damages.
  14. Minimum order : The minimum order is 50 $.
  15. Litigation : The parties agree that any litigation related, directly or indirectly, with this agreement shall be submitted to the jurisdiction of the courts located in the judicial district of Drummond, Province of Quebec.
